GENERAL TERMS AND CONDITIONS OF SALE

Grimsholm Products AB

Applicable for all order placed to Grimsholm Products AB.

 

Applicability

Grimsholm Products AB's General Terms and Conditions of Sale available at Grimsholm Product AB’s website; www.grimsholm.com applies for all sales by Grimsholm Products AB. By order placement to Grimsholm Products AB customer accepts these General Terms and Conditions of Sale. Grimsholm Products AB’s General Terms and Conditions of Sale are valid from the specified date and replaces all previous terms and conditions issued by Grimsholm Products AB.

 

In case of any discrepancy between these General Terms and Conditons of Sale and other terms and conditions of sale, mutually agreed and signed Customer Unique Terms and Conditions of Sale in writing apply first and foremost and these General Terms and Conditions of Sale secondly. For the avoidance of doubt original General Terms and Conditions of Sale in Swedish i.e. “Allmänna försäljningsvillkor” apply before therse General Terms and Conditions of Sale in English, being a translation of the original.

 

Price and Payment

Grimsholm Products AB provides a price list in EUR/SEK valid at any point in time after login at Grimsholm Produtcs AB’s website. Packaging costs are included in stated pricing. VAT and shipping costs are not included in stated pricing.

 

Payment terms are ten (10) days from the invoice date. Invoice is provided through EDI, alternatively in PDF-format to the invoice receiving email address stated at any given time as customer data at “My account” at Grimsholm Products AB:s website after login. Payment can also be made in advance. In case of non approved credit examination, advance payment applies. In case of payment delays Grimsholm Products AB charges statutory reminders fee based on Swedish law and annual interest rate on outstanding amounts with eight (8)% plus current Swedish reference rate from payment due date.

 

Order placement

Order placed to Grimsholm Products AB is done without any fee through EDI or any other electronic order placement tool provided by Grimsholm Products AB. Order placed in any other way such as, but not limited to, email, phone and fax are subject to an order fee of 20 EUR / 200 SEK per order.

 

Customer is bound to order placed to Grimsholm Products AB nondependent on person placing order and order placement method used. For the avidance of doubt all persons who have access to customer account username and password at Grimsholm Products AB’s website are deemed to be entitled placing order to Grimsholm Products AB on behalf of the customer legal entity.

 

Freight cost

Freight cost apply to order placed to Grimsholm Products AB with desired receiving shipping address and is charged in combination with invoicing of goods.

 

Informataion regarding approximate freight cost is as a minimum presented through order responses via EDI when placing order via EDI or at checkout when placing order at Grimsholm Products AB’s website. Information regarding freight cost is not presented on beforehand when placing order via any other order placement method such as, but not limited to email, telephone and fax.

 

In order to maximize quality and efficiency in orderhandling and minimize handling costs, Grimsholm Products AB uses an automated booking and delivery routine that only allows the use of freight forwarding partners of choice of Grimsholm Products AB. For the avoidance of doubt, Grimsholm Products AB cannot handle freight forwarding partner of any other party’s choice.

 

Delivery

Orders are dispatched as soon as possible, usally by the next working day at the latest, but abnormalioties can occur. Goods are delivered directly to specified receiving shipping address. Postbox is not allowed as receiving shipping address.

 

Ownership of goods

All good subject to order placement belongs to Grimsholm Products AB until full payment has been received.

 

Goods not being able to deliver to specified receiving shipping address, but returned to Grimsholm Products AB are subject to a fee of 25 EUR / 250 SEK plus VAT plus return freight cost.

 

Warranty / Complaint

Grimsholm Products AB offers product warranty in accordance with Warranty Terms valid at the time of purchase available at Grimsholm Products AB’s website. Terms of warranty may differ between products and over time.

 

Product warranty or complaint is claimed using the form provided by Grimsholm Products AB on www.grimsholm.com/reklamation.

 

In no case return of goods are accepted by Grimsholm Products AB without a prior written return merchandise authorization, presented by Grimsholm Products AB at it’s sole discretion. For the avoidance of doubt any received return of goods without a prior written return merchandise authorization presented by Grimsholm Products AB will not be accepted by Grimsholm Products AB and are as such returned to the sender without any further action taken by Grimsholm Products AB, potentially raising costs for the  sender such as, but not limited to return freight, custom charge etc.

 

Risk of goods

Ex Works (EXW) Incoterms 2010 are explicitly applied as delivery term on all orders placed to Grimsholm Products AB.

 

Grimsholm Products AB has no responsibility in respect to error that is related to freight forwarding partner such as, but limited to delayed delivery or damaged or lost goods. Upon occurance of any such error shall the receiving party of the goods claim the error and any compensation to freight forwarding partner.

 

Liability

In case Grimsholm Products AB is responsible for fault, Grimsholm Products AB undertakes at it’s sole discretion to rectify the defect by repair, delivery of new product, or refund of payment. Grimsholm Products AB's liability as a result of defects in goods is limited to these General Terms and Conditions of Sale and those Warranty Terms available at any point in time at purchase at Grimsholm Products AB’s website.

 

Grimsholm Products AB has no liability what so ever for any direct or indirect claim such as, but not limited to incompatibility, delivery delays, damaging properties in the goods, loss of profits, breakdown of operations, additional work or any other financial or personal damage not expressly regulated by these General Terms and Conditions of Sale or Grimsholm Products AB’s Warranty Terms or by Swedish law.

 

Customer data

Grimsholm Products AB is responsible for storage of customer data including those personal data provided by customer to Grimsholm Products AB.

 

Customer data is stored by Grimsholm Products AB in order to fulfill Grimsholm Products AB’s obligations towards customer and responsibilities under gowerning law such as, but not limited to accounting and tax legislations, product notifications and recalls, as well as for the purpose of information and marketing. Customer data is at least stored as long as gowerning law stipulates and are never traded to any third party.

 

Customer is solely and fully responsible for amending their own customer data. Grimsholm Products AB has no responsibility what so ever for any effect caused at any point in time by wrongfully customer data. Customer data is at any point in time available for amendment after log in at Grimsholm Products AB’s website with username and password under control by customer.

 

The customer is soley responsible for safekeeping customer account username and password to Grimsholm Products AB’s website as well as for changing password using change password fuction after login at Grimsholm Products AB’s website if there is any risk for unauthorized access to the customer account at Grimsholm Products AB’s website.

 

Force majeure

Grimsholm Products AB can not in any event be held liable for barriers beyond power of Grimsholm Products AB, such as but not limited to production disturbances, lightning strikes, prolonged power outages, strikes or any other unforeseen events that is Force Majeure. Upon occurance of Grimsholm Products AB claiming Force Majeure, Grimsholm Products AB are obligated without delay to inform upon the circumstance for such liberation due in writing.

 

Governing law

Swedish law applies exclusively to the interpretation and settlement of all disputes or claims arising out of or in connection with or its subject matter or formation including non-contractual disputes or claims, such as but not limited to these General Terms and Conditions of Sale, Grimsholm Products AB's Warranty Terms, other contractual, agreed or non-contractual terms and shall be resolved by the Swedish court in Goteborg and the language to be used for such shall be Swedish.

 

Other

Product and price information is provided with reservation for errors such as, but not limited to printing errors, suppliers' wrongly presented information, price increases, currency changes and incorrectly specified technical specifications and for stock shortage.

 

Published information and price data, documents, graphics etc. may contain technical and / or graphical and typographical errors. Grimsholm Products AB has no responsibility in respect to any such wrongly presented information including wrongly referred information and/or wrongly referred document/s within publications issued by Grimsholm Products AB.

 

Grimsholm Product AB reserves the right to change all kinds of information without prior notice, including, but not limited to these General Terms and Conditions of Sale, Grimsholm Products AB’s Warranty Terms, pricing, technical specifications and product offers and the right at any time to improve and/or to make changes in all kinds of information issued by Grimsholm Products AB without presenting information of such changes at any time or at any place.

 

Information and notice to Grimsholm Products AB is to be in writing and presented through registered letter with return receipt, letter or email to the address at any point in time presented at Grimsholm Products AB:s website to be reqognized.

 

Information material including logotypes, graphics, text, sounds, images and films etc issued by Grimsholm Product AB, such as but not limited to material available at Grimsholm Products AB’s website, in brochures and in other information material are protected by copyright and may not be copied or forwarded, in whole or in part without a on beforehand presented written permission issued by Grimsholm Product AB.
