TERMS AND CONDITIONS OF SALE TO CONSUMERS (B2C)

These Terms and Conditions of Sale to Consumers apply to the sale of goods to Consumers through the online store of Grimsholm Products AB.

 

1. Applicability

1.1    These Terms and Conditions of Sale apply to purchases of goods from Grimsholm Products AB ("Grimsholm") through Grimsholm's online store.

1.2    By completing a purchase, the Consumer accepts these Terms and Conditions of Sale.

1.3    A "Consumer" means a natural person acting primarily for purposes outside that person's trade, business, craft or profession.

1.4    These Terms and Conditions of Sale apply where the purchaser is a natural person. Where the purchaser is a legal entity, Grimsholm's Terms and Conditions of Sale for Businesses (B2B), as applicable from time to time, shall apply.

1.5    Mandatory consumer protection legislation shall prevail over these Terms and Conditions of Sale to the extent such legislation is applicable.

 

2. Point of Purchase

2.1    A Consumer wishing to exercise a right of withdrawal, submit a statutory complaint, or make a warranty claim regarding goods shall contact the point of purchase from which the goods were purchased.

2.2    Grimsholm handles claims relating to rights of withdrawal, statutory complaints and warranties only in respect of goods for which Grimsholm was the point of purchase.

 

3. Contract Formation and Purchase

3.1    A contract between the Consumer and Grimsholm is concluded only when Grimsholm has confirmed the purchase by issuing an order confirmation.

3.2    Grimsholm shall not be liable for obvious clerical errors including but not limited to, errors relating to pricing, technical specifications, compatibility or other inaccurate information published in the online store and reserves the right to correct such errors.

3.3    If an incorrect price or any other material error has been published in the online store, Grimsholm shall be entitled to cancel the purchase and refund any payment received.

 

4. Prices

4.1    Prices displayed in Grimsholm's online store may be shown either inclusive or exclusive of value added tax (VAT). All prices charged to Consumers (B2C) include applicable VAT.

4.2    Shipping charges and other applicable fees are additional to the prices displayed for the goods and will be disclosed before the purchase is completed.

4.3    Any price changes shall not affect purchases already confirmed unless otherwise provided under these Terms and Conditions, including pursuant to Clause 3.3.

 

5. Payment

5.1    Payment shall be made using the payment method selected by the Consumer and offered in the online store at the time of purchase.

5.2    Where an external payment service provider is used, that provider's terms and conditions may apply in addition to these Terms and Conditions.

 

6. Delivery

6.1    Delivery of purchased goods shall be dispatched as soon as Grimsholm is reasonably able to do so, normally on the same business day as the purchase was made or on the next following business day.

6.2    Any delivery times stated are estimates only and shall not be regarded as guaranteed delivery times.

6.3    Delivery shall be made to the address or collection point specified by the Consumer at the time of purchase.

6.4    Unless otherwise agreed, delivery shall be made using the delivery method selected by the Consumer and offered in the online store at the time of purchase.

6.5    Where goods are delivered as parcel shipments, notification of arrival may be provided electronically, including by SMS, email, application notification or post.

6.6    Where an external carrier or logistics provider is used, that provider's terms and conditions may apply in addition to these Terms and Conditions.

6.7    Risk in the goods shall pass to the Consumer when the goods come into the Consumer's possession.

6.8    The Consumer is responsible for inspecting the delivery upon receipt and for notifying Grimsholm as soon as reasonably practicable of any visible damage, including transport damage, and, where possible, any apparent defects.

6.9    Where purchased goods are returned to Grimsholm due to incorrect information provided by the Consumer, or because the goods were not accepted or collected, Grimsholm shall be entitled to reimbursement of shipping costs, including return shipping and any additional shipping costs incurred.

 

7. Right of Withdrawal

7.1    Grimsholm applies the right of withdrawal in accordance with applicable consumer protection legislation, meaning a right of withdrawal within fourteen (14) days from receipt of the goods where such right applies. Receipt of the goods shall mean the point in time when the goods come into the Consumer's possession, including through direct delivery to the Consumer or collection of the goods from a collection point.

7.2    The right of withdrawal does not apply where exceptions to such right follow from applicable consumer protection legislation, including, but not limited to, goods manufactured or customised according to the Consumer's specific requirements.

7.3    Any claim relating to the right of withdrawal shall be submitted using the method communicated by Grimsholm from time to time via www.grimsholm.com.

7.4    When exercising the right of withdrawal, the Consumer shall provide reasonable information relevant to the withdrawal claim. Upon submission of such information, the Consumer will automatically receive a return confirmation. Goods should not be returned to Grimsholm before such information has been provided and the return confirmation has been received.

7.5    Upon request by Grimsholm, the Consumer shall, without compensation, provide reasonable information relevant to the withdrawal claim, including order details, information regarding the goods and other relevant facts.

7.6    When exercising the right of withdrawal, the goods are requested to be returned to Grimsholm in substantially unchanged condition, including all accessories and in the original packaging. The original packaging should, where reasonably possible, be returned complete and undamaged.

7.7    When exercising the right of withdrawal, the Consumer shall be responsible for the goods until they have been received by Grimsholm. The Consumer shall be responsible for properly arranged and secure return shipping and for the associated costs.

7.8    Grimsholm shall be entitled to make a reasonable deduction from the refund amount corresponding to any loss in value resulting from the goods, including their packaging, not being returned in substantially unchanged condition.

7.9    Refunds relating to the right of withdrawal shall be made without undue delay after receipt of the returned goods and shall be made using the same payment method used for the purchase unless otherwise agreed.

 

8. Statutory Complaints

8.1    Grimsholm applies statutory consumer rights in accordance with applicable consumer protection legislation, meaning that Consumers may be entitled to remedies for defects in goods for a period of at least two (2) years from the date the goods come into the Consumer's possession, where such rights apply. Receipt of the goods shall mean the point in time when the goods come into the Consumer's possession, including through direct delivery to the Consumer or collection of the goods from a collection point.

8.2    The Consumer is requested to notify any alleged defect within a reasonable period of time after discovering it.

8.3    Any statutory complaint shall be submitted using the method communicated by Grimsholm from time to time via www.grimsholm.com.

8.4    Goods subject to a complaint may not be returned to Grimsholm without prior instructions from Grimsholm.

8.5    Upon request by Grimsholm, the Consumer shall, without compensation, provide reasonable information relevant to the complaint, including purchase details, order number, information regarding the goods, use of the goods, the nature and circumstances of the alleged defect, and any other relevant information or images necessary for the complaint handling process.

8.6    In relation to a complaint concerning goods, Grimsholm shall be entitled, within a reasonable period of time, to carry out any investigation and analysis necessary before a decision is made in accordance with applicable consumer protection legislation.

8.7    Upon request by Grimsholm, the Consumer shall, without compensation, cooperate in making the goods subject to the complaint properly and safely available for inspection or return to Grimsholm, or alternatively dispose of the goods in accordance with applicable local regulations if requested by Grimsholm.

8.8    Where Grimsholm requests that goods subject to a complaint be returned, Grimsholm shall bear the cost of return shipping.

8.9    Where a complaint is accepted, Grimsholm shall provide an appropriate remedy in accordance with applicable consumer protection legislation.

8.10  If, following examination, a complaint is determined to be unfounded, Grimsholm shall, where permitted by applicable law, be entitled to charge the Consumer or make deductions from any refund for reasonable costs that have been disclosed in advance, including but not limited to costs relating to examination, troubleshooting, handling and shipping.

 

9. Commercial Warranty Against Defects in Materials or Function

9.1    For certain goods, Grimsholm may offer a commercial warranty against defects in materials or function ("Warranty"), which may provide the Consumer with rights in addition to, or extending beyond, those available under applicable law.

9.2    Any Warranty shall apply only in accordance with the warranty terms published via www.grimsholm.com for the relevant goods at the time of purchase.

9.3    Any Warranty shall not limit or affect the Consumer's statutory rights.

9.4    Any warranty claim shall be submitted within a reasonable time after the alleged defect was discovered or should reasonably have been discovered.

9.5    Any warranty claim shall be submitted using the method communicated by Grimsholm from time to time via www.grimsholm.com.

9.6    Goods may not be returned to Grimsholm under a Warranty claim without prior instructions from Grimsholm.

9.7    Upon request by Grimsholm, the Consumer shall, without compensation, provide reasonable information relevant to the warranty claim, including purchase details, order number, information regarding the goods, use of the goods, the nature and circumstances of the alleged defect, and any other relevant information or images necessary for the warranty handling process.

9.8    In relation to a Warranty claim concerning goods, Grimsholm shall be entitled, within a reasonable period of time, to carry out any investigation and analysis necessary before a decision is made in accordance with the applicable warranty terms.

9.9    Upon request by Grimsholm, the Consumer shall, without compensation, cooperate in making goods covered by a Warranty properly and safely available for inspection or return to Grimsholm, or alternatively dispose of the goods in accordance with applicable local regulations if requested by Grimsholm.

9.10  Where Grimsholm requests that goods subject to a Warranty claim be returned, Grimsholm shall bear the cost of return shipping.

9.11  Where a Warranty claim is accepted, Grimsholm shall provide an appropriate remedy in accordance with the applicable warranty terms.

9.12  If, following examination, a warranty claim is determined to be unfounded, Grimsholm shall, where permitted by applicable law, be entitled to charge the Consumer or make deductions from any refund for reasonable costs that have been disclosed in advance, including but not limited to costs relating to examination, troubleshooting, handling and shipping.

 

10. Personal Data

10.1  Grimsholm processes personal data in accordance with applicable data protection legislation.

10.2  Information regarding the processing of personal data is available in Grimsholm's Privacy Policy at www.grimsholm.com.

 

11. Force Majeure

11.1  Grimsholm shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond Grimsholm's reasonable control.

 

12. Limitation of Liability

12.1  Nothing in these Terms and Conditions shall limit any rights granted to Consumers under mandatory law.

12.2  Grimsholm shall not be liable for indirect, consequential or incidental damages to the extent such limitation of liability is permitted by applicable law.

 

13. Governing Law and Dispute Resolution

13.1  These Terms and Conditions shall be interpreted and applied in accordance with applicable law. To the extent permitted by applicable law, the laws of Sweden shall apply.

13.2  Any dispute shall first be addressed through dialogue between the Consumer and Grimsholm.

13.3  If a dispute cannot be resolved amicably, the Consumer shall be entitled to have the dispute reviewed by a competent court or other competent dispute resolution body in accordance with applicable consumer protection legislation.
